1. Acceptance of Terms

By accessing or using the Pulse Events platform, website, or any services provided by Pulse Events (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

To use certain features of our Services, you may need to create an account. When you register, you agree to:

• Provide accurate and complete information
• Keep your password secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

3. User Content and Conduct

Our Services allow you to create, upload, post, and share content, including event listings, profiles, images, and comments ("User Content"). You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it in connection with providing our Services.

You agree not to use our Services to:

• Post content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Violate the rights of others, including intellectual property rights
• Impersonate any person or entity
• Engage in fraudulent activity or promote illegal activities
• Interfere with the operation of our Services
• Distribute malware or other harmful computer code

We reserve the right to remove any User Content at our sole discretion.

4. Event Creation and Ticketing

If you create events or sell tickets through our platform:

• You are responsible for the accuracy of event details
• You agree to comply with applicable laws regarding events and ticket sales
• You must honor tickets sold through our platform
• You understand that we charge service fees for ticket sales
• Refund policies must be clearly stated at the time of ticket purchase

5. Payments and Fees

Depending on the services you use, you may need to pay fees. Payment terms will be disclosed at the time of purchase or subscription. You agree to pay all applicable fees and taxes. We use third-party payment processors, and your use of their services is subject to their terms and conditions.

For event organizers, we collect and process payments on your behalf and distribute funds according to our payment schedule, less our service fees and any applicable taxes.

6. Intellectual Property

The Services and all content and materials included on them, such as text, graphics, logos, images, and software, are the property of Pulse Events or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our express written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PULSE EVENTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE SERVICES.

OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW AND SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pulse Events, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Modifications to Terms and Services

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

We may also modify, suspend, or discontinue any aspect of the Services at any time without notice or liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, except that you may seek relief in small claims court for disputes that qualify.

YOU AND PULSE EVENTS AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
